Dustin has completed the acquisition of Centralpoint
Dustin Group AB (publ) (”Dustin”) has today completed the acquisition of Centralpoint Holding B.V. (”Centralpoint”) and takes a leading position in the Benelux region.
As previously announced, Dustin entered into an agreement with Rotla B.V. (indirectly) on April 13, 2021 to acquire all shares in Centralpoint. The acquisition was today completed by Dustin acquiring all shares in Centralpoint. Dustin pays cash and newly issued shares as consideration to the seller.
In connection with the completion, the Board of Dustin has resolved, based on the authorisation granted by the Extraordinary General Meeting, to carry out an issue in kind to Rotla B.V. (indirectly) against contribution in kind. The number of newly issued shares amounts to 8,254,587, which, calculated after the new issue, corresponds to a dilution of approx. 8.5 per cent of the share capital and the voting rights in Dustin. The number of shares in Dustin increases from a total of 88,695,631 to 96,950,218 shares.
The Board will exercise the authorisation granted by the Extraordinary General Meeting and resolve on a new issue of shares with preferential rights for the shareholders before end of August 2021. Terms and timetable for the new issue will be made public in connection with the Board's resolution.
